Z.ai Shares Plunge Over 10% After Announcing $5 Billion Fundraising Round

Z.ai, a Beijing-based artificial intelligence company, saw its shares drop more than 10% following the announcement of a new fundraising initiative totaling approximately $5 billion, marking its second major capital raise in two months [1]. The company plans to issue up to 21.97 million new shares at HK$714 each, aiming to raise gross proceeds of about HK$15.68 billion ($2 billion). This placement price is set at a 10% discount to Z.ai's Friday closing price of HK$793 [1].

In addition to the share placement, Z.ai will issue 20.14 billion yuan ($3 billion) in zero-coupon convertible bonds due in 2027. These bonds are initially convertible at HK$892.50 per share, representing a 12.5% premium to the previous closing price [1]. The company stated that the proceeds from this fundraising will be used to support the development of its next-generation AI models, including research and development, training and inference infrastructure, and commercialization efforts [1].

This latest fundraising follows a roughly $4 billion share placement conducted by Z.ai in July [1]. Last month, Z.ai shares experienced a surge after the company launched a new AI model that reportedly operates entirely on Chinese-made chips, utilizing 100,000 domestically produced chips to handle online requests for the model [1].

The fundraising announcement also had a negative impact on the broader market, with shares of Z.ai's domestic rival, MiniMax, falling about 5% on Monday [1].

CONCLUSION

Z.ai's announcement of a $5 billion fundraising round, its second in two months, triggered a sharp sell-off in its shares and negatively affected rival MiniMax. The capital raised is intended to accelerate the development and commercialization of Z.ai's next-generation AI models, but the market reacted negatively to the dilution and scale of the fundraising.
